1. Agreement to Terms
These Terms are a legal agreement between you and TROPIKAL LLC, a Wyoming limited liability company. "TROPIKAL," "we," "us," and "our" refer to TROPIKAL LLC. "You" means the person, business, or organization using the Service.
The Service includes tropikal.ai, app.tropikal.ai, account and identity services, docs.tropikal.ai, embedded chat widgets, APIs, integrations, workflows, Jobs, Review, Activity, Websites, Knowledge & Capabilities, support, and successor platform services. The Service is intended for business and professional use, not for personal, family, or household purposes. The developer site at tropikal.dev has separate site terms at tropikal.dev/terms.
If you have a signed agreement, statement of work, order form, data processing agreement, or other written contract with TROPIKAL, that written agreement controls where it conflicts with these Terms.
2. Alpha and Pre-Release Service
Unless a signed agreement says otherwise, the Service is alpha-stage, pre-release software. Features may change, break, be removed, be rate-limited, be unavailable, or produce unexpected results.
TROPIKAL does not promise uptime, availability, accuracy, completeness, revenue, rankings, bookings, leads, conversion rates, legal compliance, security outcomes, or other business results unless those commitments are stated in a signed written agreement.
The Service is not designed for emergency, life-safety, regulated, or high-risk decisions. Do not rely on it as the sole system for urgent requests, professional advice, safety-critical operations, or legally regulated decisions.
3. Fees, Trials, and Renewals
Paid plans are billed as recurring subscriptions at the prices shown at checkout or on the pricing page, plus any usage-based charges shown at purchase. Fees are billed in advance for each billing period and are exclusive of taxes; you are responsible for applicable taxes other than taxes on TROPIKAL's income.
Automatic renewal. Your subscription renews automatically at the end of each billing period, and your payment method is charged the then-current plan price, until you cancel. You can cancel at any time through the billing settings in your account (which opens the billing portal) or by emailing [email protected] with "Billing" in the subject line. Cancellation takes effect at the end of the current billing period; you keep access until then and are not charged again after that.
Free trials. A free trial requires a valid payment method. When the trial period ends, the trial converts automatically to a paid subscription and your payment method is charged the plan price shown when you started the trial, unless you cancel before the trial ends. Trials are limited to one per person, organization, and payment method; TROPIKAL may cancel or decline duplicate or abusive trials.
Refunds and price changes. Except where required by law or stated in a signed agreement, fees are non-refundable, including for partial billing periods or unused allowances. TROPIKAL may change plan prices with at least 30 days' notice; price changes take effect at the start of your next billing period, and you can cancel before then if you do not accept the new price.
TROPIKAL may suspend or limit the Service for accounts with unpaid fees after reasonable notice.
4. AI Features and Output
The Service may use AI workflows to answer questions, prepare drafts, summarize information, generate content, qualify requests, support booking requests, suggest follow-ups, and assist operations.
- AI output can be wrong, incomplete, biased, unsafe, outdated, or unsuitable for your use case.
- You are responsible for reviewing AI output before publishing it, sending it to customers, updating records with it, using it in Jobs or workflows, or relying on it for decisions.
- AI output is not legal, medical, financial, tax, employment, insurance, safety, emergency, or other professional advice.
- Customer-facing AI interactions must be disclosed where required by law, platform rules, or the context of the interaction.
5. Customer Responsibilities
You are responsible for your accounts, credentials, team permissions, uploaded data, business information, connected systems, workflow configuration, Knowledge & Capabilities sources, final customer communications, and compliance obligations that apply to your business.
You must not use the Service for unlawful activity, deception, impersonation, spam, malware, credential theft, scraping abuse, harassment, hate, violence, privacy violations, intellectual-property infringement, unsafe AI workflows, or regulated decisions without proper written approval and human review.
6. Content and Intellectual Property
TROPIKAL owns or licenses the software, templates, designs, documentation, workflows, prompts, orchestration, interfaces, and other materials that make up the Service. You may not copy, resell, reverse engineer, or misuse them unless TROPIKAL gives written permission.
You retain ownership of your business information, brand assets, uploaded content, prompts, instructions, and other materials you provide, subject to any signed agreement and third-party rights. You give TROPIKAL permission to host, process, transmit, display, and use that content as needed to provide, secure, support, troubleshoot, and improve the Service.
7. Copyright Complaints
TROPIKAL responds to copyright-infringement notices that comply with the Digital Millennium Copyright Act (DMCA). TROPIKAL's designated-agent registration with the U.S. Copyright Office is pending; until it is complete, send copyright notices to [email protected] with "DMCA Notice" in the subject line, including: identification of the copyrighted work; identification and location (URL) of the allegedly infringing material; your name, address, telephone number, and email; a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature.
TROPIKAL may remove or disable access to material identified in a valid notice and will forward notices to the responsible customer where appropriate. Users whose content is removed may submit a counter-notice with the elements required by 17 U.S.C. § 512(g). TROPIKAL terminates the accounts of repeat infringers in appropriate circumstances.
8. Third-Party Services
The Service may rely on third-party providers for hosting, AI models, routing, embeddings, media generation, payments, email, messaging, analytics, customer websites, OAuth integrations, customer-selected providers, and support tooling. Those providers have their own terms and privacy policies.
TROPIKAL is not responsible for third-party services, customer systems, customer websites, or integration behavior outside TROPIKAL's control.
9. Activity, Logs, and Retention
The Service may keep Activity records, audit logs, security logs, billing records, support records, and abuse-prevention records. These records may survive deletion of a workflow, Job, message, account, website, or content where needed for security, accountability, legal, billing, backup, dispute, or abuse-prevention reasons.
10. Suspension and Termination
TROPIKAL may change, limit, suspend, or stop parts of the Service. TROPIKAL may suspend access when reasonably needed to address unpaid fees, security risk, abuse, legal risk, or misuse of the Service.
You may stop using the Service at any time. Terms that should reasonably survive termination, including payment duties, confidentiality, IP ownership, disclaimers, limits of liability, indemnity, dispute terms, and data handling duties, continue to apply.
11. Warranty Disclaimer
To the fullest extent permitted by applicable law, the Service and all AI output are provided "as is" and "as available." TROPIKAL disclaims all warranties not expressly stated in a signed agreement, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, security, and error-free operation.
12. Limitation of Liability
To the fullest extent permitted by applicable law and subject to any signed agreement, TROPIKAL will not be responsible for indirect, incidental, consequential, special, exemplary, punitive, lost-profit, lost-revenue, loss-of-goodwill, business-interruption, data-loss, or third-party-claim damages arising from or related to the Service.
To the fullest extent permitted by applicable law, TROPIKAL's aggregate liability arising out of or related to the Service will be limited to the greater of the amounts you paid to TROPIKAL for the Service in the previous three months or USD $100.
Some laws do not allow certain limits, exclusions, or caps, so some terms may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Dispute Resolution, Governing Law, and Venue
Talk to us first. Before filing a claim, send a written description of the dispute to [email protected] with "Legal" in the subject line, or to the postal address in Section 15. Both sides will try in good faith to resolve the dispute informally within 30 days of the notice before starting formal proceedings.
These Terms are governed by Wyoming law, without regard to conflict-of-law rules. To the fullest extent permitted by applicable law, disputes must be brought individually — not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding — in the state courts located in Laramie County, Wyoming or the United States District Court for the District of Wyoming. Either party may instead bring an individual claim in small-claims court where jurisdiction and venue requirements are met, and TROPIKAL may seek injunctive or equitable relief in any court with jurisdiction.
To the fullest extent permitted by applicable law, any claim arising out of or related to the Service must be filed within one year after the claim accrued, or it is permanently barred.
14. Changes to These Terms
TROPIKAL may update these Terms from time to time. The "Last updated" date at the top shows the current version. For material changes, TROPIKAL will give reasonable advance notice, such as a notice in the app, an email to your account address, or a notice on this page. Changes apply prospectively; continued use of the Service after a change takes effect means you accept the updated Terms. If you do not accept a change, stop using the Service and cancel any subscription before the change takes effect.
